1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Thankz LLC ("Company," "we," "us," or "our"), governing your access to and use of the Zenvoy application and related services (collectively, the "Service").

By downloading, installing, or using Zenvoy, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Zenvoy is a personal memory application that runs locally on your Apple devices (macOS and iOS). The Service captures, processes, and organizes information from your digital activities using on-device artificial intelligence. All data processing occurs locally on your device.

The Service includes features such as conversation transcription, screen capture analysis, document processing, and intelligent search capabilities.

3. Eligibility

You must be at least 18 years of age to use the Service. By using Zenvoy, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

The Service is available to users worldwide, subject to applicable local laws and regulations.

4. Account Registration

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Data Ownership and Privacy

Your Data Remains Yours. All personal data captured and processed by Zenvoy remains on your device. We do not have access to, collect, or store your personal data on our servers. Your memories, conversations, documents, and other captured content never leave your Mac or iOS device.

Encryption and Security. Your data is encrypted using industry-standard AES-256 encryption. If you enable cross-device sync, your data is encrypted end-to-end with keys that only you control.

IMPORTANT: Private Key Responsibility. You are solely responsible for maintaining your encryption keys. If you lose your private key or forget your PIN, your encrypted data cannot be recovered. We do not have access to your encryption keys and cannot assist with data recovery. There is no "forgot password" option for your encrypted data.

6. Subscription and Payment

Zenvoy offers subscription-based pricing plans. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

Free Trial. We may offer a free trial period. At the end of the trial, you will be charged for the subscription unless you cancel before the trial ends.

Automatic Renewal. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage your subscription through your account settings.

Refunds. Refunds are provided in accordance with the refund policies of the platform through which you purchased the subscription (e.g., Apple App Store) or as required by applicable law.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to capture or process content that you do not have the right to capture
• Record conversations without the consent of participants where required by law
• Use the Service in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or disassemble the Service
• Circumvent any technological measures designed to protect the Service
• Use the Service to infringe on the intellectual property rights of others
• Share your account credentials with third parties

Recording Consent. You are responsible for complying with all applicable laws regarding the recording of conversations, including obtaining consent from all parties where required. Laws vary by jurisdiction; some require all-party consent while others require only one-party consent.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Thankz LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

9. Third-Party Services

The Service may integrate with or rely on third-party services, including but not limited to Apple iCloud for optional sync functionality. Your use of such third-party services is governed by their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any information processed by the Service, including AI-generated transcriptions or summaries.

You acknowledge that AI-powered features may produce inaccurate results and should not be relied upon as the sole source of truth for important information.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THANKZ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Data Loss. We are not liable for any loss of data resulting from your loss of encryption keys, device failure, or any other cause. You are solely responsible for maintaining backups of your encryption keys.

12. Indemnification

You agree to indemnify, defend, and hold harmless Thankz LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

You may terminate your account at any time by discontinuing use of the Service and deleting the application from your devices.

Upon termination, your right to use the Service will immediately cease. Since your data is stored locally on your device and we do not have access to it, termination of your account does not affect your locally stored data.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Sioux Falls, South Dakota.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

For users in the European Economic Area (EEA), United Kingdom, or other jurisdictions with specific consumer protection laws, nothing in these Terms affects your statutory rights that cannot be waived or limited by contract.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thankz LLC regarding the Service and supersede all prior agreements and understandings.
